SENCORP was a privately held and professionally managed holding company with various operating subsidiaries in the industrial and consumer tool manufacturing, equipment leasing, real estate and medical devices industries.My experience headlines:• Provided strategic and tactical guidance and counsel. Focus and responsibility for finance and tax support, risk management, Board Committees, corporate governance, general corporate matters, contracts and commercial transactions, human resources and employment matters, and corporate administration.• Advised management and the SENCORP Board through asset monetization, corporate divestitures and credit facility renegotiations from multi-million unsecured credit facilities through agented asset-based lending. • Assumed a pivotal leadership role managing SENCORP’s bankruptcy process in the wake of the 2008 financial markets collapse, including negotiating a sale of the business to a private equity investor which preserved the 70 year old brand, the business and the jobs of hundreds of employees. • Selected by the SENCORP Board to remain as the sole officer, along with the CEO, following the bankruptcy filing. Based upon my knowledge and skill, the Board was confident in my ability to manage the remaining liquidation process and assure the highest level of fiduciary best practices.

My Practice focused on lender and borrower representation for commercial real estate-backed construction and permanent financings. Other significant practice areas included asset-based lending and commercial real estate transactions such as real estate loan work-outs and restructuring, tenant and owner representation in shopping center transactions, real estate purchase and sale transactions, and other general real estate and corporate matters.
