As General Counsel of a private equity firm, I am responsible for all legal advisory work for the firm and its portfolio companies. I am responsible for drafting various agreements such as shareholder’s agreements, asset purchase agreements, assist with term sheets action plans, and review subscription and loan agreements.My current nature of work heavily involves identifying legal risks concerning potential investment opportunities being explored by the firm and to provide advise on full range of corporate and commercial matters, including joint ventures, acquisitions, corporate restructuring, commercial contracts and general corporate advisory.

HUBCO now operates and maintains its power station located at Hub Chowki, Balochistan, Pakistan, through its wholly owned subsidiary, Hub Power Services Limited (HPSL) which was incorporated on March 26th, 2015. In addition to being in house counsel to HUBCO, I am also Company Secretary of HPSL.

In-house legal counsel at one of Pakistan’s largest independent private power company in the energy sector. The Hub Power Company Limited is engaged in the business of generating electricity. Its current expansion plans include setting up a 2x660 MW coal fired power complex. I report to the Company Secretary and provide legal advise and support as required routinely.

Manage and monitor various litigation matters involving the various group companies throughout Pakistan, including determining the merits of the claim, instructing external counsel and liaising internally with the concerned business units to prepare the company’s defenses. Routinely vet, draft and advise on various agreements such as lease and sub-lease, non-disclosure, car financing facilities and various supply-chain agreements.Routinely advise on corporate governance issues, shareholder, director and committee level approvals, in the context of company law requirements and shareholders agreement between private equity investors and other major shareholders.

Worked as a litigator and responsibilities included research on case law, draft opinions, advise local and multinational clients on matters relating to company incorporation, corporate compliance, intellectual property matters, registration with the requisite regulatory authorities, regulatory matters, employment and labour issues, including termination of employees and drafting HR policies.Represented the firm’s clients in various civil proceedings, securities and financial recovery matters pending adjudication before the Banking Courts and Lower Courts.Assisted Senior Counsel in matters pending adjudication before the High Court of Sindh at Karachi.Drafted and negotiated financing agreements and security agreements for the firm’s clients.Conducted due diligence investigations and legal audits of financial institutions and multinational companies.Prepared and registered Articles of Association and Memorandum of Association of Companies of companies under the Companies Ordinance for companies to be incorporated.Prepared legal advice and opinions pertaining to a diverse range of laws of Pakistan for various local and foreign companies.Appeared in civil litigation proceedings and family matters relating to divorce and custody of children pending before the before the Lower Courts.
