Special interest in companies in healthcare, pharma, (life) science, biotech.Representative legal matters: Corporate governance disputes & litigation: - Represented shareholders, boards, holding companies, joint ventures, international corporations and family businesses, advising on mismanagement, corporate governance, and funding disputes; - Represented several companies and shareholders in forced dilution/transfer of shares- and squeeze-out proceedings, including arranging an involuntary Enterprise Chamber sanctioned bidding process in a financial distress scenario for a public company;- Represented the supervisory directors of a large healthcare institution in a dispute with the directors and implemented significant changes in the governance through Enterprise Chamber. - Represented majority and minority shareholders in disputes regarding information rights, dividend policy and minimum duty of care. Liability cases: - Represented a CEO of a large international, partly insolvent group of legal entities; - represented a CFO of Dutch equity trading firm in a mismanagement case before the Enterprise Chamber; - represented companies and shareholders in liability claims against other shareholders and directors; - Represented pharmaceutical companies in arbitration and Enterprise proceedings regarding mismanagement and unlawful dividends.Restructuring/insolvency disputes: - Represented a bankruptcy trustee where a capital protection breach resulted in a deficit of millions. - Represented an international hotel group re the restructuring of debts through the Dutch scheme (WHOA);- Represented national and international financial institutions in litigation against bankruptcy trustees; - Represented a bank syndicate (mandated lead arranger, lender, facility and security agent), on suspension event of default and restructuring loan facilities; Special interest: private equity disputes, healthcare, (life) science, & pharma.
