Transactional And Commercial Attorney
CurrentProvides a business-forward and practical approach to contracts for clients in healthcare, pharmaceutical, data licensing, life sciences, technology and non-profit sectors. Support includes:• negotiating customer facing and third party vendor agreements including SaaS, data licensing, end user license terms, professional services/consulting agreements, master service agreements, statements of work and order forms.• providing high touch support for key corporate initiatives and relationships (e.g. partners, resellers, OEM providers; harmonizing contracts of acquired companies);• protecting confidential and sensitive data through development and negotiation of nondisclosure agreements, data privacy agreements, business associate agreements and data use restrictions;• resolving contract disputes with vendors and customers (e.g. analyzing dispute, preparing notices of breach, termination agreements, and settlement agreements);• advising clients on mission critical transactions including strategic alliances, technology procurement, management of intellectual property assets and privacy and security issues;• educating internal clients regarding corporate directives and policies; • training new legal department hires on relevant forms and processes.• managing contract processes and improvements, supervising outside counsel and • Working seamlessly with business, finance, data privacy and security teams via Gmail, Slack, Salesforce, and Spring CM systems.
