Prepared company for a potential IPO including developing S-1 with an “Up-C” structure, and recapitalized the company prior to the IPO. After postponing the IPO, led contract and financing terms for the purchase of VWR that included an equity raise of $3.6 billion and debt offerings total $7.25 billion. Responsible for developing and upgrading of the controllership, tax, treasury and FP&A roles.

Led the strategic process and negotiations of the merger with Johnson Controls, Inc. Responsible for all of the treasury and M&A activities including pension management, asbestos settlements, risk management. Completed over 20 acquisitions with a value of $1.2 billion and divested businesses with an aggregate value exceeding $2 billion.

Led the M&A process as Tyco streamlined its business from over $36 billion in revenues to $12 billion in a series of spin-offs and hundreds of divestitures. In addition, acquired over 50 companies with aggregate purchase price of approximately $4 billion during this time. Oversaw the spin outs of four companies (including a Reverse Morris Trust), these responsibilities included the preparation of financial statements, liability management, and asset allocation.

Responsible for the manufacturing, marketing, sales, R&D and finance operations for this automatic door company.

Led the strategy, acquisition and divestiture process for this Fortune 200 company. Responsible for negotiating over 20 acquisitions and divestitures with accumulated transaction value of $7 billion.

Responsible for preparing financial models and coordinating financial due diligence on acquisitions and divestitures by Allied Signal, Inc.
