Implemented market segment and account profitability models, and developed Margin Improvement function to provide processes and tools to improve gross profit, contributing to 253 basis point improvement over 5 years. Acquired three competitors in twelve months of responsibility for divisional M&A. Led divisional effort to achieve Sarbanes-Oxley compliance. With president, successfully planned and presented the business for sale.

Publicly-held medical-device manufacturer automating the delivery of hemodialysis in patients’ homes. Recruited by CFO to lead accounting and IT functions, including tax, treasury, reporting, operations and governance, in preparation for the rapid growth anticipated following FDA approval. With CEO and CFO, raised $63 million in public equity market. Led business process and technology review, and enhanced internal controls and processes for domestic and international operations to enable rapid growth. Led successful Sarbanes-Oxley compliance effort.

Formed by Reynolds & Reynolds, ADP, and CCC Information Systems, ChoiceParts provided an integrated, online automobile parts location and ordering engine to auto dealerships and repair shops. Recruited to lead tax, treasury, reporting, and finance operations. Provided financial and strategic leadership through business policy and process development, acquisition and sale analyses, and anti-trust lawsuit resolution. Successfully managed cash conservation efforts, developing and implementing plans to achieve cash flow neutrality through successful prosecution of anti-trust lawsuit against GM, Ford and Chrysler.

Allegiance was a publicly-held $4.5 billion manufacturer and distributor of healthcare industry products spun off from Baxter Healthcare Corporation in 1996, and acquired by Cardinal Health Inc. in 1999. Source Medical, now Cardinal Health Canada, was a $300 million hospital supply distribution joint venture of Allegiance and MDS, Inc., a Canadian company. With senior team, led restructuring efforts resulting in cost reductions of $7 million in facility consolidation and process improvements. Led redesign of and staffing upgrade for the Information Technology function, resulting in improved systems support and successful transition from two legacy systems to JDEdwards. With the VP Operations, led the acquisition of a $24 million competitor, contributing to growth and ending a critical non-compete. With the VP Sales, developed and negotiated an exit strategy for capital equipment business, generating $2 million in cash and avoiding severance costs.

Led the financial due diligence and valuation efforts on major acquisition projects before transitioning to lead the integration of the largest (Source Medical, above).

A $10 billion global biotechnology and medical/surgical supply products manufacturer and distributor. On creation of the division, led the consolidation of the financial reporting functions of three divisions totaling $4.5 billion in sales, reducing headcount by 24% in twelve months. On announcement of the Allegiance spin-off, carved out the new business segments, developed pro forma financial statements, and re-established the financial reporting function for the business remaining with Baxter. Developed a model to value the international businesses to be spun off with Allegiance, resulting in $1.5 million in increased annual service fees paid by Baxter. Negotiated payment terms impact from Baxter, resulting in a $40 million reduction in debt at spin-off. Managed financial aspects of the international business during the spin-off, including the optimization of $10 million in tax haven earnings.
