• Manage legal affairs of NYSE-listed, Permian-focused oilfield services company from IPO forward; • Coordinate and prepare board and committee matters, including agendas and minutes;• Draft SEC documents, including Securities Act and Exchange Act filings (Form 8-K, 10-Q, 10-K, proxy, S-1, S-3, and Section 16, etc.), NYSE documents, and related matters; • Draft and negotiate mergers and acquisitions, master service agreements, confidentiality agreements, supply chain matters, commercial leases, and other corporate contracts; • Manage litigation, employment law matters, and regulatory compliance;• Draft, implement, and manage corporate/board policy and governance matters; • As co-head of Human Resources, design and manage implementation of comprehensive modernization of HR practices, including payroll, recruiting and personnel management systems.
