Mid markets serves trading businesses with revenue of between £25m to £750m. Strategic Finance provides specialist transaction (structuring and execution), origination (pitches, networking etc.) and advisory (analysis and solutions) support to the relationship teams, with a key focus on cashflow based lending with debt quantums above £10m. The team covers central London, Thames Valley & South and Kent Surrey & Sussex. A key part of the role that I greatly enjoy is build relationships with internal (relationship teams / product partners) and external stakeholders (lawyers, accountants and debt advisors) and working with them to deliver successful transactions. My key successes to date include supporting a car dealership in a major property acquisition (£135m hold), working with a listed online search business to acquire a complimentary online business (£40.5m hold - share in syndicate) and delivering a increased facility to a listed media business to allow them to undertake a major expansion of capacity to meet international demand (£48.0m hold).

My role was to provide independent / accountable credit risk assessments for individual proposals and ensure the continued quality of the mid markets portfolio across different asset classes and products. My key focus was on: i) building and maintaining strong relationships with front line colleagues and key stakeholders and ii) delivering pro-active, value adding advice on potential transactions / ongoing client relationships, including structuring, key terms, internal diligence requirements and other support to ensure we can deliver a proposal that offers the best result for the Client and the Bank. My achievements included delivering approvals for a £91m refinancing of a hotel business, a £60m new line to support the relocation of a large car sales business and a £16m line to support a not for profit company’s bid for a two new department of justice contracts.

The focus of the team is to formulate and deliver balance sheet reduction strategies for the Bank’s non-core leveraged assets. This involves the ongoing review of the credit quality of portfolio assets and the project management of exits through either portfolio or single assets. This has included working on the successful sale of a c. £500m debt/hedging portfolio in H1 2012 and a more complex c. £1bn debt/hedging/equity portfolio sale (Leveraged/Corporate/Property assets) that is due to close in Q1 2013. The key features of my role are: - Business / Debt valuation – Analysis of financial / market data and the formulation of bespoke models.- Project Management – Co-ordinating the collection of information / documentation from the Relationship manager community, managing information flow to investors and executing the sale strategy, including work on legal documentation.- Asset Strategy – Reviewing and opining on restructuring proposals and credit submissions. Formulation of disposal strategies.- Stakeholder Management – Internal (Relationship Managers / Senior decision makers) and External (the investor / bidder community).- Asset Management – Designing / implementing internal processes and controls to manage assets.

This was a specialist team that was set up to focus solely on the restructuring of private equity backed bilateral and multi-bank debt facilities. My role allowed me to take a lead in stakeholder management, formulation/negotiation of restructuring strategies/legal docs, credit reporting/review and colleague development. Transactions I led included a c. £30m bilateral facility for a construction consumables manufacturer, the restructuring and sale of c. £100m EV debt collection agency, a c. £95m multi-bank facility (incorporating a debt for equity swap) for a mid-market hotel operator, and the initial diligence and ultimate secondary sale of a c. £70m stake in a c. £200m facility for a publishing company.

I had responsibility for originating, negotiating and executing debt packages in the mid and large market sector of the UK and European private equity market. This involved marketing to the private equity community and project managing the transaction process to a successful completion. I had a key part in numerous transactions during my time in the team including the acquisition of £100m UK dental chain, the £300m MBO of a pensions IT company and a £1.2bn public-to-private buyout of U.K. waste-management business, which was successfully underwritten and distributed to an extensive syndicate.
