Responsible for legal aspects of Sara Lee corporate transactional matters worldwide (including M&A, finance and real property). Serve as chief legal counsel to Sara Lee’s Strategy & Corporate Development, Treasury, Tax, and Real Estate departments. Act as Secretary of the Finance Committee of the Board of Directors. Supervised two in-house transactional lawyers while responsible for supporting Procurement and Information Technology departments. Member of the Sara Lee Corporation Global Leadership Team.

Managed execution of various corporate divestitures during a period when Sara Lee was in the process of divesting or spinning off 40% of the Company, while at the same time being responsible for add-on acquisitions. Supervised a team of five Corporate Development professionals. Served on the Board of Directors of Delta Galil Industries Ltd., an Israeli (and Nasdaq-listed) public company at the time partially owned by Sara Lee.

Responsible for legal aspects of Sara Lee’s acquisition, divestiture and joint venture activities, including the preparation and negotiation of purchase and sale agreements, letters of intent and ancillary agreements, the hiring and supervision of outside counsel, the obtaining of regulatory/antitrust approval for acquisitions, the performance of legal due diligence and the coordination of input from internal specialists. Assisted in the preparation of periodic securities documents, including annual reports and Section 16 filings.

Represented corporations and private equity funds in relation to a wide range of merger, acquisition, divestiture, and joint venture transactions. Served as issuer’s counsel in connection with equity and debt securities offerings. Counseled European and US clients on US corporate and securities law matters and prepared ’34 Act filings. Provided day-to-day corporate and securities law assistance to a NYSE-listed company. Coordinated the activities of transaction counsel in a variety of European, North American and Asian countries. Completed a three-month secondment with J.P. Morgan Securities Ltd. (London) supervising equity capital market and derivative transactions.
