• Responsible for all legal and regulatory affairs of the company, including general corporate and strategic matters, governance and board relations (Corporate Secretary), supporting sales and business development, HR and employee matters, technology and operations, intellectual property, real estate, and marketing/PR/communications. • Conceived and developed business plan for an electronic trading system for the purchase and sale of whole marketplace loans, featuring a novel multilateral legal facility including standardized loan purchase and servicing terms. Worked with Product, Operations, and Engineering teams over 9 months to develop product.• Conceived and designed a novel broker-dealer and alternative trading system (ATS) framework for brokering loan portfolios via an electronic trading system, formed broker-dealer entity and built out infrastructure, obtained FINRA approval in less than 6 months. Led all regulatory engagement for company, including advocacy before SEC, FINRA, Federal Reserve, and Treasury Department. • Led legal effort around 2015 Series B fundraising ($30 million).• Led legal team consisting of one senior attorney and outside CCO and FinOp; managed all outside counsel relationships and legal department budget.• Member of Executive Committee and various corporate working groups.

• Managed strategic partnerships, licensing, and sales agreements and advised on new business initiatives for the Research, Sales & Trading and Platforms business units. Drafted and enforced compliance and data acquisition policies. Supported all aspects of the core brokerage and trading business, including algorithmic and smart routing services, alternative trading systems (POSIT), and trading analytics (TCA).• Managed all litigation, claims, and major regulatory investigations for the firm. Prepared comment letters and advocated for changes to proposed SEC and DTCC rules. Led in-house efforts on a major patent infringement litigation for 4+ years from complaint through summary judgment victory and settlement. • Managed all legal affairs relating to technology, operations, network services, market data, data centers, outsourcing, software/hardware licensing and leases, cybersecurity, data privacy, and real estate.• Managed all aspects of IP portfolio and strategy. Grew U.S. portfolio from 3 to 80+ issued patents while controlling costs. Generated $500,000 in revenue through a strategic patent divestiture. ITG named to Ocean Tomo Patent 300 Index.• Managed several major asset acquisitions and division spin-offs, wind-downs, and joint ventures. Provided strategic advice on multiple proposed mergers and acquisitions. Managed all banking and credit transactions, including a $150 million revolver, $25 million asset-backed term loan, and $25 million leasing facility.• Chaired the Managing Director Committee for 2+ years, ran the weekly Managing Director conference call. Conceived and hosted the 2014 Global Managing Director offsite. Led a global initiative on communications and corporate culture. • Secretary to the Technology Committee of the Board of Directors.• 6+ years managing a team of junior attorneys and paralegals. Managed outside counsel relationships and assisted in Legal Department budgeting, planning, and administration.

Advised clients on intellectual property transactions and strategy, drafted and negotiated patent, trademark, and software license agreements and IP elements of mergers and acquisitions. Advised clients on privacy and e-commerce law, drafted website terms and conditions.

Performed legal research and discovery management and drafted motion briefs in a series of securities and ERISA class action lawsuits.
