• Responsible for all global legal affairs (parent and wholly-owned subsidiaries in the US, EU, and APJ) and involved in strategic Company business activities and decisions• Responsible for, among other things, corporate governance, financing rounds, credit facilities, commercial contracts, intellectual property portfolio, and supervision of litigation matters.• Manage, draft, and negotiate the Company’s agreements and commercial andcorporate policies including EULAs and complex licensing, privacy policies, opensource, SaaS, DRaaS, technical alliances, encryption/export licenses, reselleragreements, master license and professional service agreements, vendor agreements, as well as various other agreements, policies, and guidelines.• Provide ongoing consultation to various company teams in all aspects of legal issues including privacy and data protection laws (including GDPR, ISO audits etc.), employment, compliance and intellectual property rights.• Manage growing legal team• Retain and supervise outside counsel globally on international projects, corporate governance issues, commercial issues, employment and litigation.

Experience in the following fields: • Working with a large number of local and international clients (including NICE Systems Ltd. and Perion Networks Ltd., both dually–listed companies on NASDAQ and TASE), providing advice on sophisticated multi-million dollar corporate and commercial transactions. In depth involvement with drafting and/or negotiation (in English and Hebrew) of: Commercial/Intellectual Property transactions - licensing, joint ventures, distribution, OEM, supply and manufacturing, e-commerce, NDAs, consulting, employment clinical trials, equipment loan agreements, service agreements, and other commercial agreements, as well as data privacy and protection memorandums; Corporate and Private Equity - financing, M&A, and loan agreements; US Securities - annual reports (Form 20-F), periodic reporting, press releases, and proxy statements for annual general meetings.• Acting Director of Corporate Affairs at NICE Systems Ltd. for a period of 8 months (seconded on behalf of Goldfarb Seligman as replacement for Director on maternity leave).• Oversight of junior associates and interns.

Provided corporate finance and commercial law services to a full range of companies from private, emerging growth companies in the initial and development stages of business to publicly traded companies. Including: Commercial - sophisticated commercial transactions, licensing, joint ventures, distribution, OEM, e-commerce, NDAs, consulting, clinical trials, equipment loan agreements, and service agreements; Corporate and Private Equity: financing, M&A, loan agreements, and corporate governance; and US Securities - annual reports (Form 20-F), debt offerings (English section for TASE), 6K's, press releases, and proxy statements for annual general meetings.

Prepared positions for district attorney’s offices with respect to citizenship, conversion, and paternity issues; Drafted policy statements.
