As part of the Asia-Pacific Senior Management team and reporting to the Global General Counsel, directed all legal affairs in Asia for this Swiss-based multinational with $1.7 Billion in annual sales in Asia and significant operations in China, India, Japan, Korea, Taiwan, Hong Kong, Singapore, Thailand, Malaysia, Indonesia, Australia, Vietnam and the Philippines. • Managed all corporate law issues for 30+ Ciba companies in Asia including joint ventures and representative offices. Executed corporate restructuring in numerous countries and established new entities.• Supervised all legal issues surrounding financing, construction and operation of $125MM manufacturing facility in Singapore.• Assured compliance with law (including FCPA and competition law) and company’s Code of Conduct. Ensured training of all employees and investigation of alleged violations.• Closed, on time and under budget, the divestiture of Ciba’s Asian Textile Effects business, involving the sale of a $500MM book of business, approximately 2,000 employees, and 10 sites (manufacturing plants, laboratory facilities, warehouses and offices) in seven different countries, as part of global transaction.• Negotiated legal aspects of $75MM leveraging of just-completed manufacturing facility in Singapore, providing $5MM savings in cost-of-capital over 5 year term.• Acquired legal rights to building site in China for construction of manufacturing facility.• Managed litigation and disputes involving IP, product liability, contract, labor and criminal issues through a staff of 8 legal professionals and outside counsel. • Drafted, reviewed and negotiated contracts including purchase of goods and services; leases; sale of goods, equipment and services; distribution; agency; secrecy; licensure; toll manufacturing; warehousing; and transportation.
