I am responsible for leading the Board and focusing it on strategic matters, overseeing the Botswana Solar business and setting high governance standards. I play a pivotal role in fostering the effectiveness of the Board and individual Directors, both inside and outside the board room. I am also responsible for ensuring that there is effective communication New Sahara Ventures Group CEO and representing the Group externally. With the support of the Group Company Secretary, I ensure that the Board receives accurate, timely and clear information.Other responsibilities:Leading the Board in discussions of proposals put forward by the executive team including on strategy, risk management, governance, capital, financial reporting;Setting an agenda for the Board, which is focused on strategic matters, forward looking and evaluates and oversees the business;.Ensuring the Board comply with schedule of matters reserved;Being a sounding board and mentor to the Managing Director;Fostering an open, inclusive discussion which challenges executives, where appropriate.

• Provide expert advice and recommendations to the CEO and the Board of Directors on strategic and day to day operational imperatives including the implications of major policy decisions, performance, and strategies for managing critical incidents,• Ensure high quality services to the clientele, and maximize outreach to the target group in a sustainable way,• Assist in the implementation of best-practice corporate governance, management, organizational structure and procedures, staff development, financial management, and risk management principles,• Mobilize funding resources in form of debt and/or equity,• Develop and maintain effective working relationships with a diverse range of internal and external stakeholders and nurture effective strategic partnerships to identify changes in client base and demands and new industry developments which impact on the strategic positioning of the group and achievement of both short- and long-term goals, • Develop organization prospects by studying economic trends and revenue opportunities; analyzing organization operations; identifying opportunities for improvement, cost reduction, and systems enhancement.• General Oversite of the Group finance department which includes but not limited to financial planning, financial reporting, accounting, implementing and monitoring internal controls.

a. Work with the board to establish long-term vision, strategies, goals, policies and plans, including leading the strategic planning process and working with the board and stakeholders to implement the strategy to achieve that vision.b. Advise the board on the impact of long-term planning, introduction of new programs, strategies and regulatory actions.c. Establish metrics for the evaluation and development of long-term business strategies.d. Identify potential new markets, conduct on-going market research and overall due diligence within sectors assigned by the company, for the evaluation of prospective investments leading to a final investment decision.e. Monitor on an on-going basis existing positions and recommend the use of various techniques to manage the exposure to market risks, competition and policy developments.f. Lead creating and developing diversified portfolios to enable increased returns consistent with time horizon, risk tolerance and liquidity needs of clients.g. Identify and bring together the right resources, stakeholders, content experts and decision makers to meet goals.h. Develop investment policies and guidelines and propose amendments that reflect both needs and financial markets evolution.i. Develop business cases, project plans, team structure and governance models.j. Monitor the performance of the team according to agreed benchmarks and guidelines.k. Ensuring sufficient funding is available to meet ongoing operational and capital investment requirements.l. Co-ordinate various efforts across a range of functions and business units.m. Ensure full and timely compliance with all regulatory and internal requirements.n. Produce quarterly updates on business performance.o. Develop and cultivate relationships with Regulators, internal clients and external stakeholders.p. Clearly articulate the business plan and status to the Board and stakeholders.
