I have over 35 years of experience both as outside and in-house counsel helping clients achieve their goals across a wide range of expertise, including M&A and joint ventures, disputes and litigation, and ethics and compliance. As the chief legal officer, I enjoy providing advice and counsel at all levels of the organisation including C-suite executives and board of directors, and I have helped guide my company through wide range of issues including transformational corporate transactions, multi-jurisdictional investigations, and complex litigation.Throughout my career, I have had the opportunity to work on legal and commercial issues worldwide, and to live and work in both the UK and the US. I am licensed to practice law as a solicitor and notary public in Scotland and as an attorney in Texas. I have also acted as corporate secretary for over five years to Wood, a FTSE 250 public company, including advising the board of directors on corporate governance.I have been privileged to develop and lead a diverse team of legal and compliance professionals worldwide and I am passionate about enhancing the value that in-house legal teams bring to the organisation, including through improvements in legal operations. I am a strong advocate for diversity, equity and inclusion in our team, in our company, and in the legal profession more widely, including as Executive Sponsor of Wood’s Pride Network, and as a signatory to the General Counsel for Diversity & Inclusion initiative. Group General Counsel And Company SecretaryWood Aug 2018 - Jan 2024Aberdeen, GbIn August 2018 I relocated from Houston, Texas to Wood’s global headquarters in Aberdeen UK, continuing as General Counsel and Company Secretary. I was appointed to Wood’s Executive Leadership Team in January 2022. As general counsel, reporting to the Chief Executive, I am responsible for leading Wood’s global legal, ethics and compliance function, and for providing legal advice and counsel to the Board and executives. As company secretary, reporting to the Chair of the board of directors, I am responsible for supporting the board on its corporate governance responsibilities, and compliance with the company’s obligations as a UK public listed company. I am also responsible for the governance of our subsidiaries. Significant matters dealt with during this period included:• July 2021 - $180m resolution of multi-jurisdictional bribery and corruption investigations by agencies in the US, UK and Brazil into historical conduct in the legacy Foster Wheeler business, including deferred prosecution agreements with the UK Serious Fraud Office and the US Department of Justice• September 2022 - $1.9bn sale of Wood’s Built Environment consulting business to WSP Global Inc.• November 2022 - $115m settlement of a legacy lawsuit with Enterprise Products Operating LLC in Houston, Texas• November 2022 – Capital Markets Day to launch the company’s new strategy • May 2023 - unsolicited takeover bids for Wood by Apollo Global Management (which ultimately did not proceed)
