CurrentObserve and attend corporate Board meetings. Manage company equity cap table.Draft and revise EULA, SLA, NDA, Reseller, Partner, and Vendor agreements as needed. Negotiate agreements with customer and partners. Provide counsel to executive team on business topics including corporate governance, software contract administration, intellectual property matters, international expansion and risk assessment. Assisted in Series A funding due diligence and the acquisition of MaxxVault, LLC.Assisted with the establishment of a German entity and a U.K. entity. Provide legal support for foreign hiring and corporate compliance and coordinate international partner contract administration. Data Privacy and Compliance: • Monitor global regulations and implement programs to ensure compliance with domestic and foreign data protection requirements. • Work with outside counsel to set up policies and procedures that ensure Vasion’s product complies with GDPR as well as Canada’s PIPEDA and relevant U.S Data Protection laws. • Assess and benchmark Vasion’s data privacy program and remedy gaps and implement improvements. • Negotiate and draft customer and vendor information security and privacy agreements. • Draft and revise Standard Contractual Clauses and Technical and Organizational Security Measures for Vasion’s DPA. • Attend product review meetings to ensure privacy by design is considered and implemented. • Complete customer information security/privacy questionnaires.• Partner with Vasion’s Director of Security to establish and revise Vasion’s ISMS and pursue ISO 27001 accreditation. • Studying for CIPP/US and CIPM certificate through IAPP.
