Lead the Alternatives, Equities & External Mandates legal team for AIG Asset Management, an SEC-registered investment advisor, with primary responsibility for all legal matters related to clients’ alternative investment portfolios, including investments in private equity, venture capital and hedge funds, funds-of-one, minority equity investments (both as lead investor and syndicate member), co-investments, secondaries and certain structured products, in addition to the formation and management of AIG-sponsored co-investment and hedge funds.Advise Board members, senior management and portfolio managers in evaluating, structuring, negotiating and managing investments for clients’ portfolios, executing M&A transactions (asset/equity purchases and sales), establishing NAV-based and subscription line credit facilities, creating middle-market loan warehouse vehicles, structuring various capital efficiency/repack transactions and entering into strategic arrangements with third-party investment managers/sponsors.Counsel business partners on compliance with Investment Advisers Act, certain U.S. securities laws and insurance regulations (including state insurance holding company laws/regulations and investments statutes), corporate governance best practices (including assisting with the preparation of materials for presentations to various AIG risk management committees), affiliate transfers, servicing arrangements and vendor contracts.

Advised the AIG general insurance business, insurance company Board members, AIG global functions and senior management on a variety of domestic and cross-border financing and M&A transactions, cash management solutions, insurance regulatory and corporate governance matters. Structured and negotiated credit facilities, joint ventures, servicing arrangements and other transactions involving both regulated and non-regulated entities in the U.S., Europe, Africa and Asia. Designed and implemented several programs allowing AIG Treasury to more efficiently manage the capital and liquidity needs of the AIG general insurance companies. Drafted corporate resolutions and consents, powers of attorney and shareholder proxies, company policies and procedures, management committee charters and related training presentations, and correspondence/filings with insurance regulatory bodies related to material and/or related party transactions. Assisted with the preparation of Board meeting materials, attended Board meetings, took and distributed minutes.

Represented insurance and financial services clients in a broad range of transactions, including SEC-registered, 144A and Reg S securities offerings, complex alternative risk transfer solutions (Axxx and XXX reserve financings), asset-backed securitizations, secured and unsecured lending, M&A, reinsurance arrangements and general corporate matters.Drafted and negotiated transaction documents, including private placement memoranda, purchase/sale/distribution agreements, indentures, trust agreements, credit agreements, letters of credit, guaranteed investment contracts, funding agreements, reinsurance and retrocession agreements, investment management, custodial and other services agreements, indemnification agreements, interest rate and currency swap schedules/confirmations, non-disclosure agreements and legal opinions/memoranda.Counseled clients in connection with U.S. securities laws (including preparation/filing of registration statements on Form S-3 and periodic reports on Forms 10-K, 10-Q and 8-K), disclosures in offering documents, insurance regulatory matters and stock exchange listings (i.e., NYSE, Luxembourg and Ireland).
