I enjoy this area of law, which is evolving and dynamic in framing and defining the rights and remedies of those who own companies. This area of law allows me to use ingenuity in pursuing my clients' rights, and gives me insight to the workings of closely-held companies to advise controlling interests in avoiding and defending shareholder suits.It is a tumultuous time in Texas regarding the rights of shareholders, and any person contemplating joining a business, whether it is a corporation, close-corporation, partnership, or LLC as a minority interest holder should unquestionably seek professional counsel in structuring the terms of their entry. Now, more than ever, the duties and rights defined in the shareholder agreement/partnership agreement/ or member agreement dictate how minority interest holders can be treated, and what legal recourse they have, and these highly important documents should not be taken lightly. I also practice in the areas of commercial lease disputes, construction claims, and good old breach of contract actions.
