Financial Modeling/M&A Valuation • Discounted Cash Flow Analysis: Conduct sensitivity and goal seek analysis to terminal cash flows, multiples, perpetuity growth rates and WACC.• Comparable Companies Analysis: Analyze the standard deviation and coefficient of variation of the multiples for the companies utilized by the financial advisor. Develop benchmarking analysis based on the comparable’s income statements and consensus projections. Research selected companies and compare business models with the target company. • Bottom-up Beta Analysis: Construct WACC models derived from the comparable companies selected by the financial advisor. Analyze size premiums, beta and capital structures with statistical tools.• Time Series Analysis: Compare projections and financial models over time based on the banker’s books. Analyze variance and changes in assumptions over time.• Develop valuation case arguments derived from the target’s financial advisor's analysis and management projections. • Summarize transaction details to managing director and present valuation case arguments. Research• Industry Research: Provide management and clients with industry outlooks based off industry research reports. • Analyst Reports: Summarize analyst commentary regarding the transaction and overall health of the target company to compare with the target’s management projections. Apply statistical analysis to price targets and compare with the transaction price.• Case Law Research: Provide summaries and analysis on precedent case law and judicial decisions, in the Chancery Court of Delaware, for senior management. Provide senior management with valuation literature research for use in expert report.
