Ms. Montenegro is currently Vice President, Business and Legal Affairs at NBCUniversal Telemundo Enterprises, a division of NBCUniversal. In her role, she is the lead lawyer and business advisor to Telemundo Network, an American Spanish-language network broadcast television network. Telemundo Network broadcasts programs, including several produced by the network itself, aimed at Hispanic and Latino Americans in the U.S., and audiences around the world – featuring a mix of telenovelas, sports, reality television series, news programming, and feature films (both Spanish-dubbed versions of American films and imported films produced in Spanish-speaking countries). She previously was the lead counsel and business advisor to Telemundo Studios, the largest Spanish-language US content producer, and to Telemundo Internacional, the second largest distributor of Spanish-language content worldwide by syndicating content to more than 100 countries in over 35 languages.

As executive vice president and general counsel of SBSA, Ms. Montenegro was responsible for a wide range of corporate functions, including legal, governance, securities, mergers and acquisitions, litigation, business development, and compliance. Ms. Montenegro was instrumental in many litigated cases with industry-wide ramifications, including matters regarding the efficacy of the Portable People Meter, and the fairness of the Radio Music License Committee’s allocation of ASCAP and BMI fees. Ms. Montenegro has also handled several high profile entertainment matters and an array of transactional matters, including negotiating joint ventures, mergers and acquisitions, debt financing, executive and talent contracts, and media content, production, affiliate and distribution agreements. Ms. Montenegro was also involved in the company’s live stage and concert promotion division, including concert events featuring: Marc Anthony, Ricky Martin, Carlos Vives, Alejandro Saenz, Ricardo Arjona, and Aventura, among others.Lead and assisted the CEO and senior management in evaluation of strategic partnerships and initiatives, acquisitions and other business development opportunities, including the expansion of certain business units.Negotiated and drafted multi-million dollar business transactions, including mergers and acquisitions, consulting and confidentiality agreements for corporate and finance transactions, debt and equity issuances, secured lending transactions and acquisition agreements, marketing and distribution agreements, sponsorship and programming agreements.

Directed all aspects of company’s legal, human resources and business affairs departments. Represented corporate clients through initial public offerings and publicly registered and privately placed offerings of equity and debt securities. Responsibilities included ensuring compliance with federal and state securities laws, regulatory organizational rules, and compliance with Sarbanes-Oxley Act of 2002 requirements.
