I also managed the firm's operations, including hiring, employee onboarding, office space, IT, payroll, insurance, and benefits, and advised management on long-range planning for company expansion. At Trade Street, I also served as the company's general counsel, set internal governance policies, develop and managed compliance procedures, and proactively identified solutions to eliminate or mitigate company risk for the company and its products and services. I implemented and coordinated data and information security policies and oversaw digital strategy and cybersecurity. Finally, I advised on legal aspects of the company's financing, including assessing and advising on business structures and legal entities, and provided thought leadership on unique legal issues affecting the organization.

The NC Department of State Treasurer manages over $90 billion in assets, which makes it 12th largest pension in the U.S. and the 26th largest pension in the world. In this role, I supported Deputy General Counsel on investments and transactional matters related to public equity, hedge funds, real assets, real estate, private equity, and venture capital. Reviewed and analyzed transactional documents for compliance with state legislative requirements. Worked with outside counsel to execute investments and ensure implementation of organizational objectives and policy. Drafted and negotiated vendor contracts and develop standard form agreements for the Investment Management Division.I reviewed and closed 60 commingled fund and separate account investments and investment management agreements with 30 fund managers.

I started this investment and consulting firm as a vehicle to use my legal and investing skills to execute deals with other investors and entrepreneurs as well as explore opportunities of personal interest. My experience has been quite diverse, and I have been able to advise private equity funds, fundless sponsors, established and startup companies, and entrepreneurs in North America, South Asia, and Africa. I consulted on mergers and acquisitions, and helped raise private equity capital to purchase existing businesses and venture capital to start and develop new companies. I also provided business due diligence, analysis, and valuation services. My engagements included:• Equity ownership and participation in the development and marketing of private equity firm focused on energy and infrastructure investments in Bangladesh; and• Targeting funding for investments in a professional sports franchise, prepaid card provider, regional fast food franchise, and Canadian energy firm.

In my role as general counsel, I led corporate strategic and tactical initiatives and provided management with advice regarding company strategies and their implementation. I also managed the compliance, risk management, and legal services functionality for the company and its products and services, including credit re-underwriting, analysis and valuation of whole loans across a wide range of asset classes (commercial real estate, residential real estate, corporate loans, commercial and industrial loans, and consumer assets). As the company's chief legal officer, I set internal governance policies and ensured compliance with laws and regulations. I led legal negotiations and financing efforts for the company’s clients, including identifying mezzanine capital for product distribution company, private equity capital to effect divestment of majority ownership in $200 million loan servicing provider, and venture capital for startup enterprise Software-as-a-Service company. I also managed firm operations, including hiring, employee onboarding, office space, IT, payroll, insurance and benefits.

FreeMind Entertainment was a production and investment company focused on financing, producing, and distributing feature films and related media content that target overperforming financial returns and/or underserved markets. Our initial focus was African-American audiences; however, we also intended to develop content that targets other demographics. FreeMind expected to finance, produce, and distribute films that range in size from $5 million to $20 million, and we had the ability to co-invest in projects alongside media partners.

Onset Capital Partners is a dynamic and emerging global asset management firm that is comprised of a proprietary deal/fund platform, a private alternatives platform that consists of JV/partnerships and products, and a niche/varied asset management (acquisition) platform. The firm’s investment thesis is to offer a variety of general and specialized investment vehicles across various disciplines that explore inefficiencies in the global market for alternative assets and take advantage of capital markets dislocations. We believe that the best way to generate alpha in private alternatives is to explore and invest in areas of inefficiency, which tend to be at the smaller end of the investment spectrum or in niche sectors.At Onset Capital, I collaborated with former colleagues on the establishment, structure, and operation of the firm. We developed a strategy to build a robust platform comprised of alternative investment funds that focus on niche or emerging sectors. I managed start-up operations, including office space, IT, payroll, insurance and benefits, branding, marketing, and financing. I coordinated the legal structure and long-range plan for Onset Capital, and marketed the firm’s investment products and strategic plan to multiple potential investors.We also identified and partnered with managers to offer investment products in infrastructure, agriculture, solar, and information technology.Some of the firm’s accomplishments include investments in:• A billion dollar fund that invests in non-performing/distressed residential mortgages and facilitates home retention; and• An aviation maintenance, repair, and overhaul company.

I joined Parish Capital Advisors in early 2005. Prior to its acquisition in 2012, Parish Capital was a leading alternative asset management firm and managed over $2.5 billion across five funds. The firm was founded in 2003 to invest in what the firm described as “ESN managers,” or Experienced fund managers of Small private equity funds with Niche-focused investment strategies.While at Parish Capital, I gained tremendous experience in many aspects of private equity, including sourcing and evaluating venture capital and buyout managers, and executing secondary and direct transactions. I served on five fund advisory boards with board observer responsibility for seven funds, and I played a key role by spending four months in London as we opened our European office. I proactively identified investments and managed the entire investment process—primary responsibility for fund due diligence, drafting investment memoranda for investment committee review, and negotiating legal documents—from beginning to end.My roles and responsibilities were to:• Source, review, and execute new investment opportunities—primary and secondary fund investments and direct investments in companies—in North America and Europe, conduct detailed due diligence on private equity investments, and negotiate legal documents;• Analyze and monitor the performance of fund managers and their underlying portfolio companies, monitor and value direct investments; and• Participate in fundraising activities and market the firm’s investment products, which included identifying prospective limited partners, drafting and revising offering memoranda for the firm’s investment products, completing due diligence questionnaires and RFPs, and serving as a primary liaison between the firm and its limited partners.

He is also the chief legal advisor and general counsel to the Mayor and the City Council, as well as all boards, departments, and officers in the City of Los Angeles. In addition, the City Attorney litigates all civil actions on behalf of the City and represents the City, and its boards and officers in all civil trials and legal proceedings in local, state, and federal court. The Office consists of the Civil Division and the Criminal Division.During my tenure as a criminal prosecutor, I accomplished the following:• Prosecuted misdemeanor criminal offenses and infractions, particularly those relating to domestic violence, prostitution, vehicle theft, drug possession, and battery; and• Successfully prosecuted three out of three jury trials to verdict.Subsequently, I transitioned to the Citywide Nuisance Abatement Program (CNAP), which is a multi-agency task force that targets abandoned structures, nuisance properties and blight plaguing neighborhoods throughout the City. During my tenure in CNAP, I accomplished the following:• Pursued civil and criminal remedies to abate gang, narcotics, and vice activity that occurs at residential and commercial locations within the city of Los Angeles; and• Participated in neighborhood block projects in the Los Angeles Police Department’s Southeast Division with efforts focused on crime prevention and reduction, physical improvements and enhancements, and community outreach.
