My practice now focuses primarily on commercial disputes usually sounding in contract and/or tort and resolving same – whether through out-of-court negotiation and settlement, alternative dispute resolution or formal litigation – in favor of my clients, representing plaintiffs and defendants alike, and respectively maximizing the amount of any settlement payment or court-ordered award or minimizing same, if not preventing such altogether.Assisting in the creation, re-structuring or routine maintenance of S-corporations, limited liability companies, partnerships, etc.; consulting with and advising such clients on the most appropriate provisions of by-laws, operating agreements etc. – and amending such when necessary – to ensure the legal, efficient and most profitable operation of any such business; negotiating and drafting commercial contracts to be executed with outside parties to the benefit of my clients.To a lesser extent I represent clients in regard to certain criminal matters and even family law matters.

Represented clients in the State and Superior Courts of Bulloch County, GA (and neighboring counties) primarily in regard to criminal matters; represented plaintiffs in regard to commercial and contractual disputes; represented criminal defendants in the United States Federal Court, Southern District of Georgia, primarily defending clients against charges alleging RICO violations and/or trafficking and distribution of narcotics and conspiracy thereto.

Defended clients against myriad criminal charges, including drug-related crimes (simple possession, trafficking, etc.), grand theft and/or grand larceny, assault, battery, armed robbery, et al.Represented clients (plaintiffs and defendants) in civil actions focusing primarily on commercial and contractual disputes, as well as § 1983 claims, real (property) actions, and personal injury claims.Represented and advised clients regarding commercial sales and acquisitions – particularly restaurants, bars, and other small businesses (often including any underlying real estate matters) – negotiating and drafting asset purchase agreements and any ancillary contracts involving existing customers and vendors, seeing to the execution of all relevant documents and ultimately the closing of such transactions.

Advised clients on the legal, financial and tax implications of multi-million dollar commercial asset and real estate transactions, mid-market mergers and acquisitions, and structuring and re-structuring corporations, partnerships and limited liability companies.Assisted in commercial litigation, performed legal research and drafted internal memoranda, drafted and filed complaints, answers, motions and other pleadings.Provided general legal counsel to clients regarding various issues encountered in the course of their businesses, drafted and reviewed sales and service agreements, leases and other commercial contracts.
