Current Contributed to the development and refinement of corporate finance policies such as optimal capital structure, share repurchase and dividend recommendations, and internal DCF valuation model inputs. Managed ADP’s capital markets activities including $2 billion corporate bonds, $9.5 billion commercial paper program (daily issuance responsibility to fund extended investment strategy), upsizing of the $9.5 billion revolving credit facilities, and other debt (IRBs and Letters of Credit). Extensive scenario analysis modeling of potential debt transactions across the curve. As part of $1B corporate bond refinancing, performed make-whole analysis and evaluated opportune economics of refinancing scenarios. Led efforts to determine ideal pre-issuance interest rate hedging strategy and implemented this strategy, including process documentation, hedge effectiveness testing, and mark-market evaluation. Led corporate treasury activities, including ADP’s 401(k) and pension plans, stock compensation and repurchases, shares forecast, and accretion/dilution analysis. Developed Board of Directors’ and senior management presentations on a number of topics, including assistance with Board/Management activism defense efforts, capital structure, debt/equity recommendations, capital return (dividend and repurchase) strategies in conjunction with a broad constituency of internal groups. Aided ADP investor relations with quarterly preparation materials in advance of earnings release, conference call, and investor day. Supported ADP Investor Relations in preparing for investor roadshows, developing investor engagement strategy, and proxy contest defense activities (defeated Pershing Square in November 2017). Attend industry conferences in an effort to further develop understanding of activist efforts and strategies and the implications on our investor relations efforts.
