On 1 March 2024, after an extensive process of exploring numerous avenues in pursuit of delivering the best result for our shareholders and many customers, Diverger completed a scheme of arrangement for the sale of the group to Count Limited (ASX:CUP) at a 64% premium to share-price. Diverger Limited an ASX listed (prior to scheme) financial services group comprising a portfolio of companies that provide services across 3 divisions; Wealth Solutions including AFSL licensee services and managed investment portfolios for financial advisers; Accounting Solutions providing technical training and support to accounting firms; Technology Solutions providing outsourced IT services (MSP) to a range of companies.Key achievements through this journey included:* Circa 15 M&A transactions growing from 15 to 110FTE across 3 divisions. * Established a corporate function both internal and outsourced across finance, M&A, HR, IT and legal. * A trusted adviser and support to various compositions of the Board and 3 MDs in developing and executing the Group strategy which resulted in a Group, with a clear strategic direction, well defined values and corporate identity, a genuine contender in the financial services sector as a leader. * Key driver/contributor to 3 parallel growth strategies: 1.Optimizing the operating model through a number of measures including cost out, repricing, outsourcing, cross-selling, new service offerings 2. Continued accelerator M&A with a disciplined capital management and evaluation policy 3. Transformational transaction following an 3-year process involving public NBIO’s as acquirer and target. The result was a scheme of arrangement for the sale to Count Limited at a 64% premium.

My role over 12 months focused on supporting and seeing through a number of Group project commitments, including completion of the Taralga Wind Farm project, an ERP implementation, various audit, stock exchange listing and regulatory matters, in a financially distressed environment. The role concluded with a voluntary administration and a private equity sale.

Worked with executive on various corporate and finance projects to achieve Group strategy.

Ingenia Communities (ASX: INA) , previously known as the ING Real Estate Community Living Group, is a stapled property group that owns, manages and develops a diversified portfolio of seniors housing communities. Key achievements1) Assisted with the completion of internalisation of management via a reverse acquisition out of the ING group.2) Returned for each consecutive year end to lead statutory audit and ASX reporting process.

Full Group Controller role supporting the business of 250 medical centres and leading a finance team of 30 great people.

My role was to collaborate with the executive in working through key phases involving a separation from Babcock & Brown, stablisation and resolution of key finance issues, working through recapitalization options, execution of private equity sale and transition to new owners. Key achievements: 1) Stablisation and set up of group financial control function.2) Key finance contributor supporting recapitalisation of the group involving parallel workstreams: a. Various asset sale configurations. b. Capital raising. c. Private equity takeover. (resulting option, being taken over by Texas Pacific Group)3) Implementation of management planning and reporting framework to accommodate new owners and executive. Involved implementation of new management and corporate structures, transfer pricing, financial datawarehouse, Cognos and TM1 Planning.

Full Group Controller responsibility leading a great team of up to 40. Key achievements:1) Integration of 8 acquisitions including expansion into Asia to double size of group turnover from $160m to $320m.2) Partnered with executive to re-direct growth strategy to organic growth involving extensive analysis of markets and client profiles resulting in the implementation of a commercial framework which included a series of pricing models to drive desired behaviours within the group.3) Implementation of management reporting and transaction system framework to accommodate growth strategy and shared service environment.

1) London based group finance role supporting several business units.2) Seconded to New York to stabilise the financial control function of a US business unit. Involved establishing team, implementation of systems and restoring reporting confidence with UK parent.
