Diverger Limited an ASX listed (prior to scheme) financial services group comprising a portfolio of companies that provide services across 3 divisions; Wealth Solutions including AFSL licensee services and managed investment portfolios for financial advisers; Accounting Solutions providing technical training and support to accounting firms; Technology Solutions providing outsourced IT services (MSP) to a range of companies.Key achievements through this journey included:* Circa 15 M&A transactions growing from 15 to 110FTE across 3 divisions. * Established a corporate function both internal and outsourced across finance, M&A, HR, IT and legal. * A trusted adviser and support to various compositions of the Board and 3 MDs in developing and executing the Group strategy which resulted in a Group, with a clear strategic direction, well defined values and corporate identity, a genuine contender in the financial services sector as a leader. * Key driver/contributor to 3 parallel growth strategies: 1.Optimizing the operating model through a number of measures including cost out, repricing, outsourcing, cross-selling, new service offerings 2. Continued accelerator M&A with a disciplined capital management and evaluation policy 3. Transformational transaction following an 3-year process involving public NBIO’s as acquirer and target. The result was a scheme of arrangement for the sale to Count Limited at a 64% premium.
