Chief Legal Officer for a NYSE-listed company with over $2 billion in assets (which became an autonomous, indirect wholly-owned subsidiary of Fairfax Financial of Toronto, Canada upon its acquisition in 2010). Responsibilities included oversight of all in-house corporate attorneys (including five legal divisions) and outside legal counsel. Hired to reorganize the in-house corporate legal department to incorporate managed care, corporate and transactional expertise and controls, while minimizing unnecessary bureaucratic procedures. Also oversaw all real estate, facilities and physical security for the company, and served on the Executive Steering Committee to oversee all material business matters for the company and its operating subsidiaries.

Managing attorney responsible for all legal matters for a NYSE-listed, Fortune 200 company with over $14 billion in annual revenues. Responsibilities included oversight of all in-house attorneys (including three legal divisions) and all outside legal counsel. Hired to establish an in-house legal department (previously the company outsourced all legal services) and effectively grew the department while establishing processes and procedures to control legal spend, mitigate risk, streamline corporate controls and promote business growth and expansion. Assisted company in extraordinary 3-year turn-around, growing from $800 million in market capitalization when joined the company in 2003 until the company was acquired by United HealthCare Corporation in 2006 for $9.2 billion.

Managing attorney responsible for all corporate, M&A and securities legal matters for a NYSE-listed, Fortune 200 company with over $10 billion in annual revenues. Responsibilities included oversight of in-house attorneys and outside legal counsel in the following diverse areas: securities law (including 1934 Act reports and 1933 Act filings), divestitures/acquisitions, compensation/benefits, corporate finance (including bank facilities and public debt/equity), general transactional, software and information technology (IT), intellectual property (IP) and taxation. Responsible for general corporate legal compliance for the parent company and all of its 60+ subsidiaries.Initially hired to handle all corporate, transactional and securities legal work for a predecessor company (QualMed, Inc.), and was progressively promoted as the company grew through various mergers and consolidations. Oversaw from a legal perspective the company's aggressive acquisition strategy (the company was included in Fortune Magazine's list of the 100 fastest growing companies for 5 straight years -- 1992 through 1997).

Advised publicly and privately held companies concerning acquisitions and divestitures, compensation plans and arrangements and general corporate matters. Represented publicly held companies in connection with 1933 Act (including several initial public offerings) and 1934 Act filings and reports.
