Profile bio

About Michael Kuczynski

I am a Counsel with Polsinelli’s Tax and Nonprofit Organizations groups. I leverage my backgrounds in law, finance, tax consulting, and my time in-house to help organizations get exempt, stay exempt, and find solutions to grow in a strategic manner and avoid foot faults along the way. COMPREHENSIVE APPROACHBefore working at a law firm, I spent my career helping nonprofit and tax-exempt organizations as a tax consultant at a Big 4 accounting firm and then as Executive Director of Tax at the largest tax-exempt healthcare system in Georgia. These experiences allow me to analyze issues from a 360 perspective and take a comprehensive approach that incorporates legal, finance, and tax in how I analyze questions for the most pragmatic answer.DEEP EXPERIENCE IN HEALTHCARE I often draw upon my time in-house, where I played a key role in aiding a health system grow through multiple acquisitions and joint ventures. Daily, I was tasked with answering the full suite of questions that enable a tax-exempt healthcare system to run and stay compliant with the IRS. I assisted with finding tax efficiencies, internal reorganizations, tax exemption applications, identifying and avoiding potential sources of unrelated business income in planning and contracting, answering foundation questions, drafting corporate policies, analyzing and filing for property tax exemptions, and compliance with Section 501(r) Affordable Care Act requirements.MERGERS, ACQUISITIONS, JOINT VENTURES & REORGANIZATIONSAs healthcare systems and other tax-exempt organizations grow and diversify, there are often unexpected implications. I am able to help clients proactively address concerns and find solutions to them. This may include how the organization is structured or which entity within the organization owns property or conducts an activity. In each case, I help my clients find the right answer for their unique circumstances.OUTSIDE COUNSELMany tax-exempt organizations do not have an in-house tax counsel. I acted in that role earlier in my career and am able to help organizations as questions arise. I have worked on-site with clients and in a part-time secondment to help deliver better solutions. Services associated with this function may include corporate governance, federal and state tax law compliance, updating corporate policies, identifying unrelated business income, grantmaking activities, review of the Form 990, IRS audit defense, state attorney general and tax authority notices, and preparing applications for tax exemption, among other activities.

Listed skills include Accounting, Tax, Tax Law, Financial Statements, and 12 others.
