Senior Vice President, Legal
CurrentCo-lead lawyer on domestic and international M&A transactions (presently, Asia), with a $3B transaction in play to close ($5B domestic transaction within past two years);Serve as Secretary of the Board of Directors, responsible for corporate governance details, board material delivery, resolution production, Delegation of Authority compliance, etc.;Oversee Company’s policies (e.g., FCPA, OFAC, Anti-Insider Trading, Code of Conduct, Electronic Communications, Document Retention, etc.);Oversee drafting/negotiation of a wide range of commercial contracts (including engagement letters, MOUs, NDAs, LOIs, license and vendor agreements), working with various corporate departments on legal needs (e.g., intercompany notes (tax), capital movement (treasury), general contracts (HR/accounting/tax, etc.));Oversee creation and maintenance of contract templates (e.g., NDAs, LOIs, MOUs, intercompany notes, waivers, UWCs, LLC Agreements, etc.), employing best practices;Oversee management of Company’s IP portfolio (strategy and rights enforcement);Serve on REIT steering committee, collaborating with tax department on REIT compliance;Oversee associates/senior counsel and corporate paralegal group;Oversaw commercial litigation and civil litigation (two year cross-training program); Oversee employment law and employee and ethical related issues; andOversee securities function (quarterly and annual reports, bond offerings, revolving credit facilities).
