As the Assistant General Counsel, I managed all legal M&A activity and provided in-house support across Focus' portfolio of wealth and investment management firms. Responsibilities included:• Overseeing and advising on all aspects of the internal and external legal affairs of Focus and its affiliates, including assisting with domestic and international investment strategy of the holding company, strategic growth initiatives and new transaction structuring and developing firm-wide corporate policies and procedures.• Serving as lead counsel to Focus’ M&A pipeline; drafting and negotiating all merger documents, stock and securities agreements, management agreements and asset purchase agreements, along with related schedules, exhibits and ancillary documents.• Advising senior management of Focus’ portfolio companies on SEC, FINRA and other regulatory compliance, corporate governance, real estate issues, third party service arrangements and other general commercial legal matters. • Advising on Focus’ Succession Solutions Insurance Program for registered investment advisers and broker-dealers.
