I am a partner in the Business and Corporate Practice Group at White and Williams LLP, a full service regional law firm with offices in Pennsylvania, New York, New Jersey, Delaware and Massachusetts. I have over 30 years of experience in counseling clients in all aspects of business formation, raising capital through debt and equity, mergers, acquisitions and sales of businesses. I represent public companies, private venture backed companies and closely held businesses in a broad range of industries including non-profit and service business, such as healthcare and insurance, manufacturing, technology, and biotech. My breadth and depth of experience allows me to provide practical advice and solutions properly scaled for the size of the transaction, taking into consideration both anticipated future events and unexpected contingencies.My experience includes providing advice on structuring and drafting LLC operating agreements, limited partnership agreements and shareholders agreements. I have represented both the majority shareholders, partners or members as well as the minority interest holders requiring special attention to the protection of their rights.
