For more than 30 years, I have represented banks, financial institutions, and insurance companies in loan financing transactions, loan workouts, and complex bankruptcy, reorganization and commercial law matters.My practice includes both transactional and litigation matters. I have litigated before federal courts on contested matters pending throughout the country. I also have significant experience in connection with commercial finance transactions, lender liability and fraudulent transfer issues, a wide variety of creditors' rights issues, and buying and selling distressed businesses.Representative Experience:▪ Represented bank in a jury trial involving secured loans, interest rate swaps, and guaranties and lender liability counterclaims, culminating in a favorable decision from 8th Cir.rejecting affirmative defenses and dismissing all counterclaims. ▪ Represented an international bank in connection with compliance with CFPB regulations and revisions of policies and procedures relating to bankruptcy issues and mortgage loans.▪ Represented secured creditor on loan to nursing home, enforcement of lien rights, trial of confirmation objections, and defeat of attempted cramdown.▪ Represented banks as defendants in fraudulent conveyance action, culminating in the dismissal of fraudulent conveyance claims based on good faith defense. ▪ Represented banks on loan participation agreements, the development of Ch 11 creditors’ plan and settlement of complex issues relating to funds diverted by debtor.▪ Represented home textile companies in the acquisition of assets pursuant to Art 9 of the UCC with the simultaneous acquisition of 3 companies in the US, Can, and Mex▪ Represented secured creditor on loan to an international manufacturer and enforcement of lien rights in US, UK China, resulting in the appointment of receiver and sale of collateral.
