Gateway Foundation (GF) is a $100 million in revenues not-for-profit behavioral health treatment provider. With 16 facilities in 3 states, Gateway specializes in treating substance use disorder patients in residential and outpatient settings. • Led all inorganic growth initiatives, including partnerships and mergers while reporting to CEO. • Responsible for the complete acquisition life cycle including: market research, target identification/outreach, evaluation, due diligence, deal negotiations, and integration. • Completed de novo development of a facility in Illinois now providing outpatient, residential, and recovery home services. • Completed the affiliation of a Northern California treatment center providing residential and outpatient services.

Recovery Innovations (RI) International is a $60 million in revenues provider of behavioral health services including crisis treatment centers, housing, peer recovery, and mental health counseling. Provided strategic planning services and managed growth initiatives including acquisitions, mergers, partnerships, and joint ventures.

Performant, (“PFMT”) $195 million in revenues, is a leading healthcare cost containment firm specializing in providing analytics, audit and recovery services to government and commercial organizations.• Developed a strategic plan for organic and in-organic growth of a new healthcare business line• Successfully negotiated partnership agreements with two multi-billion dollar companies to diversify and enhance sales channels• Managed the entire M&A function, from sourcing to closing acquisitions:o HOPS, International, an advanced analytics data base engine focused on the healthcare fraud market. Closed 2012. o IMT, a UK based software and consulting firm specializing in healthcare fraud detection and investigation. Closed 2014.o A provider of risk adjustment and hedis services to Medicare Advantage health plans. Board approved 2014, deal did not close. o PHX, a provider of claims integrity and network management services to Third Party Administrators, self-insured employers and commercial health plans. Board approved 2015, deal did not close. ($143 million proposed purchase price)

HMS Holdings, Inc. (NASDQ: HMSY), a $475 million in revenue firm, provides coordination of benefits and payment integrity services to government (Medicaid & Medicare) and commercial healthcare payers. (HMS is now part of Gainwell). Executed a multi-year strategic plan to grow firm 20% through acquisitions including entering employer healthcare market and solidifying Federal program integrity market position.

MAXIMUS, Inc. (NYSE: MMS), a $2 billion in revenue firm and the nation’s largest Medicaid enrollment broker, specializes in business process outsourcing (BPO), consulting, and technology services for government (State & Federal) health and human service programs. Devised and executed a profit improvement plan by divesting six underperforming/non-core business units. Expanded the companies international market position by managing the complete life cycle of the acquisition of a UK welfare to work company.

Hughes Electronics Corporation (NYSE:GMH), with revenues of $8 billion, provides digital entertainment, information, and communication services through its fleet of commercial satellites. Hughes’ largest subsidiary is DirecTV, the leading satellite television provider in the United States. Representative transactions during tenure:Sale of Hughes Electronics Corporation• Managed due diligence and valuation process of proposed $26 billion merger between Hughes and certain News Corporation assets, including a Hong Kong based subsidiary• Analyzed “hostile” bid by competitor, Echostar• Assisted in negotiation of legal elements for the mergerTelocity (NASDAQ “TLCT”) • Acquired a $180 million broadband Internet Service Provider.

MAXIMUS, Inc. (“MMS”), a $1 billion in revenue firm, specializes in business process outsourcing (BPO), consulting, and technology services for government health, human services, and education programs.• Identified and executed seven acquisitions that were instrumental in the creation of the technology business unit and increased the enterprise MAXIMUS revenues 100%.(A total of 15 acquisitions were completed during my tenure)

Kenmare Capital Corporation is a private equity firm specializing in acquiring controlling equity positions in middle-market manufacturing companies. Successfully launched the London and Australia offices.Completed six acquisitions with aggregate purchase consideration of approximately $100 million, one divestiture, and an IPO on the London Stock Exchange, which raised $50 million. Consummated transactions during this time in the US, Canada, United Kingdom, France, and Australia.
