My legal practice has focused on structured finance, Fintech, securitization, mortgage banking and secured lending. While practicing in these sophisticated, challenging and complex areas, I strive to get deals done, while providing quality service with practical and straightforward advice and value-added results.My structured finance experience has involved a variety of asset types with a majority involving first and second lien mortgage loans, including distressed and non-performing loans, and REMIC and non-REMIC securitization structures. Recent experience in Fintech area has involved online consumer and commercial loans through a number of marketplace lending platforms. I also have broad and in depth experience in the mortgage banking area that has included mortgage servicing rights (MSRs), loan servicing agreements, mortgage warehouse financing via master repurchase agreements, whole loan purchases and sales, servicer advance and MSR credit facilities and other operational and transaction matters, and involved a variety of mortgage products including government insured, conforming agency (Fannie Mae, Freddie Mac and Ginnie Mae), jumbo non-conforming, distressed, NPL, manufactured housing, home equity, HLTV and other second lien mortgages.My structured finance practice includes the use of bankruptcy remote special purpose entities (SPE) for asset true sale isolation. My Fintech and marketplace lending experience includes analysis of electronic loan documents under the Uniform Commercial Code (UCC), Uniform Electronic Transactions Act (UETA) and Electronic Signatures in Global and National Commerce Act (ESIGN). My background also includes accounting, business and legal experience, with three years as an in house attorney at mortgage banking companies and, prior to law school, two years as a Certified Public Accountant (CPA).
