Since joining Fox Factory as an individual contributor, I added two attorneys and two IP specialists to my team to cover all operational and intellectual matters for the company. I lead a cross-functional team for all M&A from pre-LOI phase through closing and post-close integration. I manage all litigation across the company.

Wiley Companies is a family-owned custom chemicals and food ingredients manufacturer with a production plant in Coshocton, Ohio and customers around the world. As the company's first in-house attorney, I was responsible for all legal matters, including advising the shareholders on corporate structure to support the long-term growth strategy while keeping the company closely held by multiple family generations. I also oversaw the Environmental, Health, and Safety Department for the company. Accomplishments include:- Directly negotiated and secured an exclusive decade-long supply agreement- Directly negotiated and secured long term take-or-pay contracts for two new product lines, each of which are the largest individual contracts in the company's history- Crafted a joint venture arrangement with a Chilean company

Fractional counsel to private equity-owned and startup companies

Rubicon was a global oilfield products company backed by a $300M line of equity investment from Warburg Pincus. I began working with Rubicon as outside counsel prior to the company’s first acquisition. After assisting Rubicon’s founders with acquisition due diligence and planning post-close reorganization, I joined the company as General Counsel to create and lead a cost-effective legal department as the company grew from a small founding group to over 1,000 employees globally through 7 acquisitions. Responsibilities included:• Drafted, negotiated, and reviewed a wide variety of transactional documents, such as purchase contracts, MSAs with global E&P companies, joint ventures, confidentiality, employment agreements, leases, and letters of intent• Managed all dispute resolution and litigation, including the negotiation of a favorable settlement as the plaintiff in a patent infringement suit• Managed global corporate entity structure, including tax re-organization efforts• Served as Chief Compliance Officer managing the company’s compliance program, including employee training and primary responsibility for internal investigations• Global responsibility for IP matters, including software, trade secret, and patent licensing and managing the patent and trademark portfolio
