Representing clients as the lead attorney on a broad range of transactional matters and serving as an outside general counsel in the technology, energy, fashion/apparel, education, real estate consulting, wellness, recreation and marketing industries. As outside general counsel, providing strategic advice to the leadership team and across the organization for all aspects of each client's business including corporate transactions and financings, commercial matters, governance, employment issues, regulatory considerations, litigation oversight, intellectual property and licensing, restructuring and real estate. Transactional experience includes leading and coordinating deal and client teams for private and public mergers and acquisitions, venture capital investments and fund formation, private equity transactions, divestitures, recapitalizations, joint ventures, intellectual property and licensing, employment agreements, financing deals and debt-related matters. Actively involved in firm industry practice groups and marketing teams. Advising not-for-profit entities focusing on education, youth development, sports and recreation.

Established and developed all aspects of firm’s corporate practice, including coordinating and handling corporate matters, developing new business, maintaining existing client relationships and advising on marketing efforts for firm, as its primary corporate partner. Represented not-for-profit, technology, real estate, media, entertainment, energy and other corporate clients as lead attorney on transactional matters, including mergers and acquisitions, formations, financings, employment matters, corporate governance and complex commercial deals.

Represented health care, not-for-profit, financial services, private equity, real estate, energy, technology, professional services, industrial, entertainment, lodging, retail, logistics, internet gaming, venture capital, media, advertising, fashion, telecommunications, and other corporate clients as lead attorney on a variety of domestic and international transactional matters. Coordinated and supervised deal teams, including financial advisors, accountants, bankers and junior attorneys, on structuring and all other aspects of such transactions. Served in general counsel role, as management advisor and contract negotiator, for several middle market companies. Maintained significant client relationships and developed new business opportunities. Moved to Troutman Sanders with corporate group from Goodkind Labaton in May 2005 upon the Goodkind firm’s restructuring.
