Delivering value to the organization through effective management of the legal, Human Resources, and public company compliance and reporting functions across the business

Contracts: Draft, review and negotiate commercial contracts, consulting contracts, joint venture agreements, non-disclosure and confidentiality agreements, purchase and sale agreements, licensing agreements and employment contracts; implementation and management of contracts database; draft standard terms and conditions for purchase orders; and draft legal correspondence and memorandum. Securities Compliance: Primary responsibility for all securities compliance and disclosure filings; coordinate with finance team to prepare annual and quarterly reports; file insider reports; coordinate with technical team to prepare technical reports; and review and draft press releases. Governance: Prepare agendas, meeting materials and minutes for board meetings; review and draft committee charters and terms of reference; draft compliance policies; manage equity compensation plans and awards; primary responsibility for management of corporate data room; and assist with various other governance matters.Employment and Human Resources: Primary responsibility over corporate human resources department; provide counsel regarding general employment and human resource matters; draft HR policies and manuals; conduct training presentations; benefit management; and draft employment and separation agreements.

Representation of both domestic and international buyers and sellers in various merger and acquisition transactions (both asset and equity), including drafting purchase and sale agreements, schedules and ancillary documents across a number of industries (including energy, mining, construction; food services, banking, healthcare and technology). Representation of U.S. and Canadian public companies with regards to securities law disclosures and compliance, including drafting and reviewing Form 10-Ks, Form 10-Qs, Form 8-Ks, Form S-1’s, Form S-3’s, proxy statements, and D&O questionnaires.Representation of private equity funds with regards to both investment in, and divestiture of, asset and development projects.Provide representation with regards to general corporate governance matters, including drafting governing, transaction and other documents for and related to entity formation, amendments, actions, conversions and terminations.

Representation of Bahrain-based investment bank in various transactions, financings and corporate governance matters.
