I am a partner in the Tax and Corporate/Commercial group at Fasken Martineau DuMoulin LLP. My work extends over a wide range of areas (tax is everywhere!) but lately has been focused on a combination of entertainment/digital media, natural resources and cross-border investment.Over the past couple of months I have worked with clients on:- a hybrid asset/share sale transaction- the expansion of an IP-orientated business into Canada- drafting tax efficient stock option restricted share unit and deferred share unit plans- HST audits- compliance with the new Social Services Tax (i.e. PST)- SRED claimsI also regularly provide advice and assist on:- the purchase or sale of a business both by way of a sale of shares and a sale of assets- RRSP and TFSA compliance- tax withholding obligations- public company transactions including Plans of Arrangement and Triangular Amalgamations- "flow-through" share offerings- foreign affiliate planning- shareholder agreements
