Associate Contracts Officer
I reviewed a range of different research-related contracts including Material Transfer Agreements (MTAs), Data Use Agreements (DUAs), Confidentiality Disclosure Agreements (CDAs) and Amendments. This role requires the preparation, drafting, review, redlining and negotiation of these agreements to ensure compliance with applicable laws and regulations, as well as Northwestern University policies.To effectively do my job, I have a detailed understanding of Northwestern's negotiable positions and absolute requirements in these kinds of agreements, balancing the needs of our researchers and sponsors with the requirements of the law and Northwestern's best practices.Relevant areas of expertise include (but are not limited to): intellectual property ownership, ownership of results and data, publication and confidentiality, liability and indemnification, warranty, export control, choice of law, human subject protection, compliance with HIPAA and FERPA.In addition to a focus on compliance, this position also requires a strong customer service focus. Communicating the rationale for Northwestern's positions to internal and external stakeholders was of paramount importance. Furthermore, I worked with Northwestern's research personnel (Principal Investigators and Research Administrators) to learn about their research and determine their contractual needs and identify any compliance issues they may need to address to move forward with their stated aims.
Contracts Coordinator; Office For Sponsored Research - Chicago
I handled administrative and pre-review duties for all Northwestern University Material Transfer Agreements (MTAs) and Chicago-campus Data Use Agreements (DUAs). This included working with Principal Investigators and Research Administrators to learn about their research and determine their contractual needs. Then I guided them through the process of submitting MTA/DUA requests, ensured all the required approvals and documentation are in order, and provide preliminary review of contracts before they are reviewed by Senior Contracts and Grants Officers.I also maintained our agreement database and tracking system, ensuring this data was up to date and then running reports to follow-up on outstanding agreements and maximize efficiency. In this role, I reduced the average number of incomplete agreements by 50%.
