Mr. Violanti counsels and represents a variety of individuals and business entities in a broad corporate and general business practice ranging from formation and contractual matters to acquisition-related activities, including corporate reorganizations, stock and asset purchase and sale transactions and merger transactions. Mr. Violanti has developed particular knowledge and experience in counseling and representing purchasers and sellers of small and middle-market entities. In nearly 30 years of practice, Mr. Violanti has represented a broad spectrum of purchasers and sellers in diverse industry sectors including high tech, precision contract manufacturers, construction and roofing companies, building supply and sheet metal companies, machine shops, landscaping companies, medical corporations, beauty salons, educational entities, architectural and personal services corporations and plumbing companies. Mr. Violanti also counsels family and closely-help corporations in corporate governance, contractual and ownership matters, including the preparation of stock restriction and buy-sell agreements, as well as LLC operating agreements.Mr. Violanti also has specific experience in commercial secured transactions involving the negotiation and documentation of a wide variety of loans, and other commercial transactions, including debt financing for operating capital and other asset purchases. This includes perfection of liens, security interests, subordination agreements, inter-creditor agreements, and advice on issues arising under Article 9 of the Uniform Commercial Code. Mr. Violanti has developed a general securities practice to assist entities in raising capital through private offerings.
