About Michael Wolfson

Part-time in-house counsel to technology clients. I generally work with clients on an as-needed hourly basis on a wide range of licensing, intellectual property and general business and corporate matters. My clients are companies that either do not require a full-time counsel or that need additional in-house resources but don't want to bring in another full-time employee. Clients benefit from prompt, sophisticated and practical responses from an experienced lawyer who understands the legal and business needs of a growing technology business. I can provide the advantages of high level in-house legal services without committing to an in-house position, and at rates significantly lower than those charged by outside law firms.My primary focus is on drafting and negotiating in-bound and out-bound licensing, development, sales, distribution and channel partner agreements— including a variety of permanent, term, hosted and SAAS licensing models — with an eye towards business objectives, intellectual property protections, and revenue recognition issues. I also have experience with a wide variety of the business and legal issues that clients confront, including negotiating real estate and equipment leases; advising on employment matters; assisting in developing sales and marketing strategies and coordinating corporate governance functions including director and stockholder meetings.
