I am a trusted adviser to individuals, operating companies, developers and real estate investors, keeping them in compliance with the securities laws (which, in most cases, they don't know even apply to them).I am a member of Gordon Feinblatt and chair the firm's Business Law and Securities Practice Groups. I work with businesses and their owners through all stages of growth, from startup to capital raising, to sale. I also lead the firm's EMERGE team, which offers a wide range of services to start-ups and small businesses interested in maximizing their growth potential. My practice includes securities law matters, including private placement offerings. as well as general corporate and commercial matters.I have worked with clients on matters including mergers, acquisitions and dispositions of public and private entities, public and private equity offerings, secured and unsecured financing arrangements, buy-sell arrangements, business protection agreements, vendor agreements, intellectual property issues, contract negotiations, employment agreements and employee incentive plans.I have significant experience in private equity investments and private placement securities offerings, both for operating companies and for real estate investments. I regularly draft private placement memoranda and related subscription documents, and the related SEC and state agency filing, as well as the governing corporate documents of the issuers. I have also served as an expert witness with respect to private placements under federal and state securities laws.
