Since 1981, I have been representing public and private companies, including underwriters and selling agents, in securities and corporate finance transactions. My practice includes preparing registration statements and other disclosure documents under the Securities Act of 1933 and the Securities Exchange Act of 1934, and filings and negotiations with the Securities and Exchange Commission ("SEC"). I also represent public companies in preparing and filing their reports (such as Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q and proxy statements) as required by the SEC.In the mergers and acquisitions area, I represent public and private acquiring companies and targets in business combination transactions, including mergers and asset deals.
