Principal Corporate Counsel
CurrentAs Principal Corporate Counsel of Checkr, an API-first technology company powering people infrastructure for the future of work, and in partnership with stakeholders working across various functions, I am responsible for managing corporate legal matters for Checkr, which also includes advising on commercial, real estate, employment, revenue, risk, litigation, and foundation-related matters. My experience at Checkr includes the following:● M&A, minority investments, and other strategic transactions (NDAs, term sheets, diligence, definitive agreements, integration, indemnity claims, and disputes).● Equity and debt financing (NDAs, term sheets, diligence, definitive agreements, and ongoing compliance).● Securities matters (stock transfers, repurchases, investor relations, securities law compliance, and public company readiness).● Corporate governance (charter, bylaws, investor documents, and Board, committee, and stockholder matters).● Employee matters (equity incentive plan and grants, 409A valuation, employment agreements, separation agreement, and commission plans).● General corporate (U.S. and foreign subsidiary management, intercompany agreements, tax & accounting matters, and financial audit).● Commercial agreements (vendor agreements, including those with auditors, compensation consultants, and financial advisors).● Real estate (U.S. and foreign leases and subleases, broker agreements, general contractor agreements, and real estate disputes).● Enterprise risk management (development and launch of an ERM program).● Mission (1% pledge, charitable giving, and private foundation matters).● Systematizing processes to operate more efficiently and effectively with relevant stakeholders.
