Healthcare consumer products co. – approx. 600 employees and 10 offices worldwide. Left after finalizing sale to Takeda and move of legal department to Moscow.• Responsible for negotiation/review of all contracts worldwide, including distribution, registration, warehousing, confidentiality, SaaS, marketing, licensing, IP and supply/manufacture of goods contracts. • Supervised labor issues in all jurisdictions. • Product claims, research studies and marketing materials review internationally. FTC/FDA or local equivalent regulation oversight. • Company Secretarial, Regulatory and Administrative: Corporate governance. Ongoing review to mitigate any commercial activity audit risks abroad. Oversaw GMP, organic, gluten-free, non-GMO and FDA registrations.• Responsible for development and implementation of all FCPA manuals and procedures internationally. • Intellectual Property: Negotiated co-existence agreements and oversaw all IP registrations. Put in place new IP controls in all countries and a new streamlined system of ownership using the Madrid Protocol.• Commercial: One of the three people at HQ involved in the day-to-day business decision-making. The turnover of this Company increased by approximately 50% in four years, with minimal overhead increase.• Financing and Tax: Dealt with lenders and managed all loan covenants. Negotiated multi-jurisdictional letters of credit. Converted Company to an IC-Disc tax structure resulting in almost 20% tax savings.• Real Estate: Negotiated all commercial leases of the Company worldwide.• Sale: Worked with Houlihan Lokey on preparing the Company for sale.• M&A/Joint Ventures: Concluded deal with a Russian pharmacy chain in a joint venture under which their existing retail outlets (80+) are now rebranded under the Company’s best selling trademarked product.• Litigation: Oversaw all litigation (IP, debt enforcement, employment, etc.) worldwide and managed all local counsel greatly lowering legal costs.

• I worked at Sequoia while at Unipharm (major shareholder in Sequoia), at Unipharm’s request. • Originated organic concept, developed VitaNova packaging, brand identity, website and all marketing materials. • Drafted all formation documents, services contracts, and IP documentation. • Oversaw all product registrations (Non-GMO, Organic, Gluten-Free, etc.), and charitable tie-ins. • Managed product claims and packaging (FDA and FTC review) and brought the product to test market. • Sequoia was successfully sold to a buyer in 2014.
