Conducting research, and updating Chapter 6 for the upcoming edition of U.S. Securities Law for International Financial Transactions and Capital Markets by Guy Lander. This section focuses on the registration, reporting, and disclosure requirements and obligations for foreign issuers.

Draft protests, disclosures, IDR responses, and other documents related to tax disputes with IRS Appeals regarding characterization of loss recoveries, utilization of loss deduction and tax credit carryovers (e.g., NOLs and FTCs), etc. Participate in IRS audit conferences. Author internal legal memorandum (memo) and advise on SALT planning aspects of AIG’s life and retirement business spinoff (the Separation). Research and advise on transfer pricing issues regarding the Separation, as well as subsidies in Asia and Europe. Prepare documents for accounting method and functional currency change requests. Author memos regarding the interplay of various forms, advise when the statute of limitations will run and whether a protective refund claim is necessary.

Conducted freelance legal research work. Drafted internal memoranda related to personal injury, slip/trip and fall incidents, wrongful death suits. Analyzed substantive issues related to liability, pain and suffering damage calculations, among other issues. Analyzed procedural issues including service on insurance companies and admissibility of evidence in personal injury suits, among other issues.

Conduct research in subject matters including, legal, strategic, and financial implications of the U.S. withdrawal from the multilateral nuclear accord between Iran on the one hand, and the U.S. and major European countries on the other; alternate dispute resolution mechanisms related to international commercial transactions; and international banking transactions.

Conducted research and wrote internal legal memoranda regarding multi-million-dollar commercial, real estate, and mortgage disputes; estate matters; and tort defense cases.
