Corporate Counsel
Current• Provide strategic legal advice to senior leadership and unit-level management on legal matters, including contracts, employment law, regulatory compliance, licensing, commercial leasing-related issues, and litigation within a 300-employee hospitality company.• Manage corporate governance, maintaining state entity registrations, corporate record books, and resolutions, as well as drafting management agreement amendments and shareholder meeting documents for a multi-entity company located in OR, WA, and NV.• Coordinate licensing and permits with regulatory agencies such as OLCC and County Health and Environment departments.• Oversee legal and HR-related programs and update policies related to risk management and insurance, worker’s compensation and unemployment insurance, OSHA/safety, OHA/CDC COVID-19, and company driver program.• Set up safety teams at each location and a corporate safety team to drive process development, documentation, and training.• Review employee benefit programs compliance with a focus on fiduciary liability, reporting, and plan participant communications. • Provide labor and employment legal advice to executive- and unit-level management, researching new policies, directing internal investigations, advising on leave/discipline/termination issues, and ensuring BOLI and DOL compliance.• Negotiate, draft, and review all contracts, including commercial service agreements (IT, marketing, finance, maintenance and repair, OTA, and reservation services), leases, settlement agreements, buy-sell agreements, and other ad-hoc agreements.• Select and manage outside counsel for litigation and matters requiring particular expertise, including ADA and ERISA.• Track public policy issues and legislation, and prepare action plans for new laws, rules, and requirements.• Advocate company’s interests through civic and industry groups, including Oregon Restaurant and Lodging Association and Salem Area Chamber of Commerce.
