Executive Leadership • Oversight of Legal, HR, Risk, Compliance, Facilities Management, Aviation, and Government Relations initiatives for one of the top 3 RV dealers in the nation.• Report directly to President & CEO; act as appointed delegate for any and all issues that arise when necessary. • Operate at highest level for nationwide programs, using vision and collaboration to identify and execute corporate initiatives during the era of highest profitability in the history of the company.• Establish and then cultivate cohesive legal, compliance, risk management, HR, aviation, and facilities management teams as the corporation transitioned headquarters locations.Legal Leadership• Set and execute legal vision and strategy across multiple states for multiple corporate issues across jurisdictions across the country in litigation, transactions, legislative issues, and government relations.• Provide ongoing expert advice and legal opinion to Executive Leadership Team and ownership regarding new business development, creation and administration of new corporate entities, and everyday dealmaking.Family Office Management • Act as representative and consigliere for all issues pertaining to family business office.Transactions • Close multiple real estate deals including leases (both as lessor and lessee), purchases, and development agreements. Execute zoning and entitlement requirements as needed.• Execute purchase and manage ongoing operation, including tax consequences, of private aircraft; advise on sale of another.

Corporate Transactions • As sole in-house counsel manage all legal, due diligence, and regulatory elements of the State of Arizona’s largest and most visible economic development discretionary fund. Negotiate and close unprecedented volume of discretionary economic development deals in highly visible environment.• Oversee all legal aspects of due diligence, compliance, and interpretation issues surrounding statutory and contract issues.• Lead deal teams in strategizing and executing plans to close deals that work multilaterally and efficiently resolve competing concerns.Compliance/Regulatory • Lead agency-wide team to create responses to state audits, legislation issues raising legal/policy concerns, and public records requests.• Ensure annual reports are compliant with applicable law and regulation, balancing political and regulatory requirements.• Exercise leadership and ownership to revise culture of the agency to significantly ease the successful implementation of economic development initiatives throughout the organization.• Lead programs to review and authorize grants for Blockchain, Wearable Technologies, and PropTech.Litigation • Manage outside counsel regarding issues that arise or might arise through litigation. Lead internal consensus regarding approach that avoids litigation where possible.Government Relations • Meet and confer with Agency heads, Governor’s Office, city and county representatives, and C-level executives regarding incentives, initiatives, programs, and strategies.

M&A • Provide in-house M&A expertise related to finalization of payouts and wrap-up of transition following consummation of buy-out provisions; initiate and provide legal support for full purchase of another new domestic subsidiary; real and personal property divestments and resolution of IP issues.General Corporate Law • Collaborate across deal team members to identify and execute customer strategies creating long term profitability for the company and value for the customer.• Engage and resolve issues regarding past corporate acquisitions, current acquisitions in progress, and prepare for future transaction/restructure of the parent company.• Manage issues related to Union’s Collective Bargaining Agreement; engage and work to resolve several employment related issues.• Provide ad hoc advice regarding an array of issues arising from C-level executives to line workers.Contracts • Draft, edit, and revise RFP responses customer agreements, vendor agreements, subcontractor agreements; coordinate and negotiate with elected officials and staff from multiple departments to ensure needs are met.• Negotiate and draft software licensing agreements, both for customers to use ATS SAAS offerings and for ATS to use vendors’ software. Work with managers to determine appropriate SLA’s, remedies, etc.Government Relations • Meet and confer with elected officials, police department chiefs, staff, Secretary of State representatives, and other individuals to understand and respond to needs.

M&A • Substantial M&A experience related to deals involving both domestic and tribal related entities in the restaurant, hotel & leisure, brewery, gaming, tribal healthcare, and tribal cultural industries. Strategize the position of each in larger bond, bank group, mezzanine, organic funding, venture capital, or other capital structures within gaming financing instruments.• Serve as lead attorney to source deals, arrange financing, manage placement strategies, administer bid processes and assist with analysis and apples-to-apples comparison across offers in the context of market deals.• Formulate, draft, and negotiate with banks and other institutions pertinent documents for over $1 billion in financing for several different corporate entities nationwide and internationally.• Serve as lead attorney for development teams for new insurance, cannabis, blockchain, ecommerce, and other innovations for application within tribal owned businesses.Corporate Law • Form and provide in-person guidance for dozens of corporations ranging in services from hospitality to food services to gaming to information technology to construction. Bankruptcy Law • Manage Tribal hotel and casino interests in individual and business bankruptcies. Complete and file all bankruptcy petitions, forms, schedules, and ancillary documents, including adversarial actions.Intellectual Property Law • Register and maintain status of filings for numerous trade and service marks for billion-dollar gaming and hospitality enterprise.Contracts • Create innovative gaming solution for Tribes with a desire to access electronic pools of players. Work with engineers to create software licensing and other agreements to implement the business.• Negotiate sponsorship agreements with local sports franchises for brand presence in arenas, stadiums, online, and other venues.

Insurance Defense • Represent multiple insurance companies in various claims and disputes from commercial claims to residential disputes.Contract Law • Negotiate expert witness retention agreements on behalf of hospital with the federal government.• Represent school districts, sanitary districts, water districts, and other public corporations in the formalities of formation and management and in solar power expansion projects; land use and development agreements; and other ad hoc issues.• Act as general litigation counsel for hotel services concern in resolving transactional disputes.Healthcare Counsel • Serve as outside counsel to largest healthcare network in Northern Arizona. Engage in litigation, draft contracts, review employment issues, etc.• Negotiate expert witness engagements with federal agencies on behalf of hospital staff.• Appear before and resolve multiple issues with the AZ Board of Nursing.• Negotiate transfer of patient with behavioral health needs to home country on behalf of major health care conglomerate. Case required management of diplomatic processes at highest level of government, both foreign and domestic.

Business and Estate Planning • Develop and implement plans for purchase of commercial real estate in which all professional tenants are co-owners.Corporate Law • Develop and implement plans for multi-state expansion of regional broker/developerReal Estate • Review and draft leases, identify and resolve landlord tenant issues, calculate funds owed, initiate forcible detainer actions as appropriate.Bankruptcy Law • Initiate client contact for Chapter 7 and Chapter 13 individual and business bankruptcies.
