I love working on deals. I am a corporate attorney with over 35 years of experience. I have negotiated and closed over 300 deals (mostly mergers and acquisitions). I try to solve clients' problems through practical and intelligent decision-making, offering them realistic alternatives and solutions.I also provide tax advice to clients especially for mergers and acquisitions, recapitalizations and financings. I have studied tax law and tax policy at the University of Chicago and New York University (where I have a master's degree in taxation). My focus lately has been on middle market deals (i.e., less than $1.0 billion). I advise middle market companies, strategic buyers, private equity sponsors and their portfolio companies on: * mergers, acquisitions and financings. * corporate, securities and finance matters. From time to time, I've advised public pension funds, private equity funds and other funds on their alternative investments. Throughout my career, I have represented companies and investors in all stages of capital formation including angel, venture, private equity and mezzanine investments, and initial public offerings (IPOs). I also enjoy representing founders and entrepreneurs and their companies as they successfully exit through a sale or recapitalization with financial or strategic buyers.On the personal side, I'm blessed with three daughters, a loving wife and a Doberman (aka the Velcro Dog). In my free time, I enjoy international travel and Royals baseball. I try to read one book a week. I compete in CrossFit, where I am ranked currently 2,847th worldwide in my age group. (I think, but don't know, that I am ranked 1st in my weight class.)
