General Counsel
CurrentPrimary responsibilities include support for the following: • (a) Commercial Contracts: Provide day-to-day legal support to four sister companies. This includes drafting and negotiating non-disclosure agreements, client agreements, vendor agreements and license agreements as well as advising on client relation issues. Assist in RFP process and response. Serve as advisor for intellectual property matters. Manage outside counsel support. Develop legal process and contract management system. (b) Employment Law: Provide legal support to human resources team. Assignments include drafting and review of offer letters, separation agreements, non-competition agreements and independent contractor agreements. Provide advice on personnel matters, including FLSA, discipline, compensation matters and terminations. (c) Real Estate Law: Responsible for legal review and negotiation of all office leases and related issues for 7 office locations.(d) Policy and Legal Research: Develop company-wide policy documents, including technology policies, employee handbooks, emergency planning and corporate management. Counsel internal clients on risk management. Research applicable legal issues and brief internal clients.
