Structure and prepare corporate articles, bylaws, operating agreements, partnership agreements, shareholder agreements, corporate resolutions, policies and other instruments to advance proper corporate governance. Counsel clients on best practices for business operations and compliance with statutory and regulatory law.• Analyze, negotiate and draft contracts, agreements and memoranda of understanding including service, consignment, product distribution and sales agreements; product and service warranties; intellectual property licensing agreements; master service agreements; independent contractor agreements; non-compete, confidentiality and non-solicitation agreements; commercial financial, lending and guaranty agreements; indemnification and hold harmless agreements; marketing agreements, consignment agreements; waiver and releases; promotional contest rules and regulations; product warranties; commercial dealer agreements; internet policies; music and film releases; intellectual property license agreements; consulting agreements; real estate and lease agreements.• Provide representation in corporate acquisitions, including multi-million-dollar asset and stock purchase and sales, analyzing corporate structure and governance and preparing purchase and sale, lending and security agreements, hold harmless and indemnification agreements. • Lead teams in all facets of state and federal court complex civil and commercial litigation including analysis; strategy, research; pleading preparation, discovery, pretrial motions and briefs; negotiations, mediations, arbitrations and trial.• Provide estate planning representation preparing trusts, wills, powers of attorney, health care directives and separate property agreements.
