I acted as the general counsel of BSW & RTNC Group, which also include Cympire Ltd., a startup company in the field of gamified cyber-security training. The companies work with and in developing countries and fast-growing sectors, mainly in the fields of Cyber technologies, cyber range, HLS, infrastructures and education.I handled all legal aspects of the groups’ operations worldwide, including preparation and negotiation of all sorts of commercial engagements, complex transactions, SaaS agreements, NDAs, partnerships, JV agreements. I also advised and deal with employment and labor law, regulation and compliance, GDPR, Open Source and intellectual property issues, investments, M&As and Due Diligences, and tax issues.I liaised with external lawyers and advisors, and strive to implement internal policies and working procedures.In addition, I managed one junior legal counsel.

As legal counsel at Taldor, I provided overall comprehensive in-house legal support to the company, which is a leading IT and communication corporation and a publicly traded company, as well as to all its subsidiaries, including Xglobe - its cloud solutions company. My role included handling the company's on-going business activities, draft and negotiate various agreements, such as distribution agreements, SLA, NDA, T&Cs, licensing, professional services, give general legal advice, deal with antitrust and IP issues, complex tenders and tender law, provide training and guidance to employees in various legal and regulatory issues, initiating and managing internal projects, as well as being familiar with all different departments of the group (sales, finance, HR etc.) - their field of business, needs, limitations and goals and successfully work and collaborate with them.

Previously Ron Gazit, Rotenberg & Co. (now merged into Goldfarb, Gross, Seligman & Co.). As senior associate, I acted as the legal counsel of major companies in Israel and abroad (operating without in-house legal counsel), which constitute a part of a leading group of companies in the Israeli market. I advised these companies in all their legal aspects, structured, drafted and negotiated complex commercial contracts and various agreements, both in Hebrew and in English (such as joint ventures agreements, distribution agreements, consulting agreements etc.). I handled licensing and intellectual property issues, regulation (including antitrust issues), consumer protection, marketing, tenders, labor law and legal proceedings, all by working with the different departments of these companies. In addition, I was responsible for the international operations of the group, including international collaborations, various international transactions (including financing) and ongoing corporate management (minutes etc.), as well as being in charge of various major projects in the group, such as automated warehouse and regularly managed full life cycle of contracts from their early stages, through negotiating, manufacturing and until commercial launch.I also advised various companies (especially hi-tech), non-profit organizations, partnerships and other ventures regularly, in Israel and abroad, in their entire commercial and corporate activities, including managing capital raising (funding rounds), M&As, founding new and complex corporations etc. In this position I managed 3 junior associates and interns.

As an associate in Matry Meiri, I prepared and managed various contracts in Hebrew and English, including licensing contracts, sales contracts, M&A contracts, employment agreements, real-estate contracts etc. Further, I provided ongoing legal support to companies, NPO & bonds trustee and wrote various legal opinions.

As an intern at the Corporate and Commercial Department, I drafted various commercial contracts and transactions (such as sale of activity/shares, real-estate etc.), advised companies (incorporation, ordinary course of business and dissolution) and performed legal research.
