For about 1,5 years I worked intensively on a key strategic acquisition and successful integration thereof into the LEO Pharma group. I was the legal lead on the project from the outset until the integration into the existing LEO Pharma business was completed. I was involved in all key aspects of the transaction, including the negotiation of the transaction documentation, ensuring internal understanding of the framework of the agreements and to ensure the timely closing of the transaction. To succeed in this role it was pivotal for me to understand cross-function interdependencies and the key matters within each business function. From late 2020 until July 2022, I have been the point of contact for a number of affiliates in the LEO group, primarily UAE, Brazil, Russia, S. Korea and Mexico, and I have supported the markets in all types of matters (lease negotiations, disputes, wholesaler agreements, services agreements, etc.). In addition, I have also supported markets where LEO Pharma operates through a local distribution partner.I have been assisting LEO Innovation Lab with its investments, spin-outs and contracts. LEO Innovation Lab has for several years been a tech- and start-up division of LEO Pharma and I have assisted the team at LEO Innovation Lab with legal risk assessments and to help the team to still be able to achieve their goals. Initially, my focus was on certain parts of the due diligence process and supporting the rest of the team involved in the transaction. Later on I became responsible for coordinating the due diligence process within DLA Piper (both domestically and internally) and negotiating ancillary agreements (e.g. TSAs, closing memoranda, supply agreements). A few years into my tenure, I started becoming deeply involved in the drafting and negotiation of the main transaction documents and the ancillary agreements whereas colleagues took over the due diligence responsibilities. In the latter part of my tenure, I was in charge of the advice to clients on a number of M&A transactions. I also spent a significant amount of time providing legal advice to start-ups, small and mid-size companies. Such advice included the areas of: corporate law (primarily shareholders’ agreements), contracts, non-disclosure agreements, commercial law, disputes, negotiations, general strategic matters and general advice to management of clients. To some of these clients I became the direct contact and was called upon for a quick discussion or advice. Younger colleagues often came to me for advice or recommendations on how to proceed with certain tasks, which allowed me to take on a mentoring role within the Corporate/M&A function which I really appreciated.
